Grid7, LLC (dba “Stone Soup”) values the privacy of our Users, users, members, and others who use Stone Soup.app (the “Stone Soup Service”) (collectively or individually “Users”). This statement governs information you provide to us or that we learn from your use of the Stone Soup Service and tells you how we may collect, use, and in some instances share this information.

The Information Stone Soup Collects

  • User Provided Information: You provide to Stone Soup what is generally called “personally identifiable” information when you register and possibly a credit card or other means of payment to or from Stone Soup.
  • ”Cookies” Information: When you visit the Stone Soup Service, we may send one or more cookies – a small text file containing a string of alphanumeric characters – to your computer. Stone Soup uses both session cookies and persistent cookies. A persistent cookie remains after you close your browser and may be used by your browser on subsequent visits to the Stone Soup Service. The Way Stone Soup Uses Information

Stone Soup uses the information that we collect to provide to you all of the features and services found on the Stone Soup Service. We will use your email address, without further consent, for non-marketing or administrative purposes such as notifying you of major site updates, or for customer service.

Stone Soup uses all of the information that we collect from our Users to understand the usage trends and preferences, to improve the way the Stone Soup Service works and looks, to improve our marketing and promotional efforts, and to create new features and functionality.

When Stone Soup Discloses Information

Stone Soup may disclose both personally identifiable and automatically collected information to affiliated companies or other businesses or persons to process such information on our behalf, to provide website maintenance and security, to offer certain features on the Stone Soup Service, to assist us in improving the way the Stone Soup Service works and looks, and to create new features. We do not share User information with other third-party organizations for their marketing or promotional use without your consent or except as part of a specific program or feature for which you will have the ability to opt-out.

Member Profile and Password

You have access to your personal information and you may update, correct, or delete your member information and email subscription preferences at any time.

To protect your privacy and security, we take reasonable steps to verify your identity before granting User’s member profile access. YOU ARE RESPONSIBLE FOR MAINTAINING THE SECRECY OF YOUR UNIQUE PASSWORD AND ACCOUNT INFORMATION AT ALL TIMES.

Children

Consistent with the federal Children’s Online Privacy Protection Act of 1998 (COPPA), we will never knowingly request personally identifiable information from anyone under the age of thirteen (13) without requiring parental consent. Any person who provides their personal information to Stone Soup through the Stone Soup Service represents that they are 13 years of age or older.

Third-party Advertisers, Links to Other Sites

Stone Soup may allow other companies, called third-party ad servers or ad networks, to serve advertisements within the Stone Soup Service. These third-party ad servers or ad networks use technology to send, directly to your browser, the advertisements and links that appear on the Stone Soup Service. They automatically receive your IP Address when this happens. They may also use other technologies (such as cookies, JavaScript, or web beacons) to measure the effectiveness of their advertisements and to personalize their advertising content.

Stone Soup does not provide any personally identifiable information to these third-party ad servers or ad networks without your consent or except as part of a specific program or feature for which you will have the ability to opt-in. However, please note that if an advertiser asks Stone Soup to show an advertisement to a certain audience or audience segment and you respond to that advertisement, the advertiser or ad-server may conclude that you fit the description of the audience they were trying to reach.

You should consult the respective privacy policies of these third-party ad servers or ad networks. Stone Soup’s Privacy Policy does not apply to, and we cannot control the activities of, such other advertisers or websites.

Our Commitment to Data Security

No data transmissions over the Internet can be guaranteed to be 100% secure. Consequently, we cannot ensure or warrant the security of any information you transmit to us and you do so at your own risk. Once we receive your transmission, we make reasonable efforts to ensure security on our systems. We use secure server software (SSL) and firewalls to protect your information from unauthorized access, disclosure, alteration, or destruction. However, please note that this is not a guarantee that such information may not be accessed, disclosed, altered, or destroyed by breach of such firewalls and secure server software.

If Stone Soup learns of a security systems breach, then we may attempt to notify you electronically so that you can take appropriate protective steps. By using the Stone Soup Service or providing personal information to us you agree that we can communicate with you electronically regarding security, privacy, and administrative issues relating to your use of the Stone Soup Service. Stone Soup may post a notice on the Stone Soup Service if a security breach occurs. If this happens, you will need a web browser enabling you to view Stone Soup’s Service. Stone Soup may also send an email to you at the email address you have provided to us in these circumstances. Depending on where you live, you may have a legal right to receive notice of a security breach in writing. The Stone Soup Service is hosted in the United States. If you are a User accessing the Stone Soup Service from the European Union, Asia, or any other region with laws or regulations governing personal data collection, use, and disclosure, that differ from United States laws, please note that you are transferring your personal data to the United States which does not have the same data protection laws as the EU and other regions, and by providing your personal data you consent to:

  • the use of your personal data for the uses identified above in accordance with the Privacy Policy; and
  • the transfer of your personal data to the United States as indicated above.

In the Event of Merger or Sale

If Stone Soup should ever file for bankruptcy or have its assets sold to or merge with another entity, information Stone Soup receives from you through the Stone Soup Service is a Stone Soup asset and may be transferred.

Changes and Updates to this Privacy Policy

We may occasionally update this Privacy Policy. When we do, we will also revise the “effective date” on the Privacy Policy. For changes to this Privacy Policy that may be materially less restrictive on our use or disclosure of personal information that you have provided to us, we will attempt to obtain your consent before implementing the change. Terms and Conditions of Sale

1. Sale and Purchase of Services

Stone Soup (“Seller”) hereby agrees to sell, and You (“Buyer”) hereby agree to purchase, services of the description and quantity described on the signup form (“Sign Up”) and incorporated herein by this reference (“Services”) on the terms and conditions set forth in this Agreement.

2. Purchase Price

Buyer agrees to pay the Purchase Price of the Services as posted on this website attached hereto.

3. Payment Terms

The total amount of the Purchase Price shall be payable in full by Buyer according to the payment due date stated at service initiation. Any portion of the Purchase Price unpaid past thirty (30) days shall be considered overdue. All amounts past due are subject to a late charge of the lesser of one and one-half percent (1 1/2%) per month (being eighteen percent (18%) per annum) or the highest lawful rate. In addition, Seller shall have the right to pursue any remedies available at law or as provided herein and shall be entitled to reimbursement from Buyer for Seller’s costs of collection, including attorney fees, legal fees and costs and disbursements. Services with a subscription term will automatically extend for the same term unless You give written notice of non-renewal to Seller at least fifteen (15) calendar days prior to the end of the Initial Term or the then-current Renewal Term, as applicable. The Initial Term and any Renewal Term are collectively referred to as the “Term”.

4. Delivery

Unless otherwise agreed in writing, delivery shall be made in accordance with Seller’s shipping policy in effect on the date of shipment. Delivery dates provided by Seller are estimates only. Seller will make reasonable efforts to deliver in accordance with such dates; however, Seller will not be liable for failure to deliver as estimated.

5. Disclaimer of Warranty/Limitation of Liability

Seller undertakes no responsibility for the quality of the Services or that the Services will be fit for any particular purpose for which Buyer may be buying the Services, except as otherwise provided in this Agreement, and Seller disclaims all other warranties and conditions, express or implied.

SELLER (INCLUDING ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR SUBCONTRACTORS, ALL OF WHICH ARE REFERRED TO HEREIN COLLECTIVELY AS THE “SELLER AFFILIATES”) SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCE TO BUYER OR ANY OTHER PARTY FOR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE SERVICES OR OTHERWISE, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOSS OF THE SERVICES OR ANY ASSOCIATED EQUIPMENT, COST OF CAPITAL, COST OF SUBSTITUTE OR REPLACEMENT EQUIPMENT, FACILITIES OR SERVICES, DOWN TIME, BUYER’S TIME, LOST DATA, INJURY TO PROPERTY OR ANY DAMAGES OR SUMS PAID BY BUYER TO THIRD PARTIES, EVEN IF SELLER OR ANY OF THE SELLER AFFILIATES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY WHETHER ANY CLAIM IS BASED UPON PRINCIPLES OF CONTRACT, WARRANTY, NEGLIGENCE, OR OTHER TORT, BREACH OF ANY STATUTORY DUTY, PRINCIPLES OF INDEMNITY OR CONTRIBUTION, THE FAILURE OF ANY LIMITED OR EXCLUSIVE REMEDY TO ACHIEVE ITS ESSENTIAL PURPOSE, OR OTHERWISE.

IN NO EVENT SHALL SELLER OR ANY SELLER AFFILIATE BE LIABLE TO BUYER OR ANY OTHER PARTY FOR LOSS, DAMAGE, OR INJURY OF ANY KIND OR NATURE ARISING OUT OF OR IN CONNECTION WITH THESE TERMS AND CONDITIONS IN EXCESS OF THE NET PURCHASE PRICE OF THE SERVICES ACTUALLY DELIVERED TO AND PAID FOR BY BUYER HEREUNDER.

SELLER DISCLAIMS ANY WARRANTIES OF NON-INFRINGEMENT WITH RESPECT TO THE SERVICES AND NONE OF SELLER OR ANY SELLER AFFILIATE SHALL HAVE ANY DUTY TO DEFEND, INDEMNIFY, OR HOLD HARMLESS BUYER FROM AND AGAINST ANY OR ALL DAMAGES OR COSTS INCURRED BY BUYER ARISING FROM THE INFRINGEMENT OF PATENTS OR TRADEMARKS OR VIOLATION OF COPYRIGHTS BY ANY OF THE SERVICES.

6. Force Majeure

Seller shall not be held responsible for any failure of performance to make timely delivery of all or any part of the Services in the event such failure was due, in whole or in part, to federal, provincial or municipal action, statute, ordinance or regulation, strike or other labor trouble, fire or other damage to or destruction of, in whole or in part, the Services or the manufacturing facility for the Services, the lack of or inability to obtain raw materials, labor, fuel, electrical power, water or supplies, or any other cause, act of God, contingency or circumstances not subject to the reasonable control of Seller, which causes delays or hinders the manufacture or delivery of Services. Seller shall determine in good faith the extent to which it can reasonably control a cause, contingency, or circumstance that affects the performance of its obligations.

7. General

Buyer may not assign this Agreement without Seller’s written consent. Seller is the sole intended beneficiary of this Agreement. If there is any inconsistency between this Agreement and any other agreement included with or relating to the Services, this Agreement shall govern. This Agreement may not be modified, altered or amended without the written agreement of Seller. Any additional or altered terms attached to any order submitted by Buyer shall be null and void, unless expressly agreed to in writing by Seller. If any term of this Agreement is illegal or unenforceable, the legality and enforceability of the remaining provisions shall not be affected or impaired. This Agreement shall be interpreted under the laws of the State of Arizona, without giving effect to conflicts-of-law rules; and in the event of a dispute under this Agreement; Buyer submits to the exclusive jurisdiction and venue of the courts of the State of Arizona and hereby waives any objection to such jurisdiction and venue
